Terms and Conditions

These Terms and Conditions apply to all service engagements, invoices, proposals, and work authorized by the Client with GlobalTech Solutions, LLC.
1. Payment & Late Fees
Payment is due upon receipt of the invoice, unless otherwise stated in writing. All payments must be made in U.S. dollars via ACH transfer, Zelle, company check, or another approved payment method listed on the invoice. Late payments may be subject to a finance charge of 1.5% per month on the outstanding balance, or the maximum amount permitted by applicable law, whichever is lower. GlobalTech Solutions, LLC may pause, delay, or suspend services until all past-due amounts are paid.
2. Intellectual Property
Upon receipt of full payment, the Client is granted a non-exclusive, non-transferable license to use the software, code, automations, workflows, websites, designs, or other deliverables developed specifically for the Client. GlobalTech Solutions, LLC retains all ownership, copyright, intellectual property rights, source code rights, underlying architecture, frameworks, reusable components, proprietary systems, methods, processes, templates, prompts, automations, and designs used to create or deliver the services, unless otherwise agreed to in writing.
3. Limitation of Liability
GlobalTech Solutions, LLC's total liability for any claim related to the services, software, code, automations, websites, or deliverables provided shall not exceed the total amount paid by the Client to GlobalTech Solutions, LLC under the specific invoice or project giving rise to the claim. GlobalTech Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of business opportunity.
4. Acceptance of Terms
By paying an invoice, approving a proposal, authorizing the commencement of work, or using the services or deliverables provided by GlobalTech Solutions, LLC, the Client agrees to these Terms and Conditions and any additional terms stated in the applicable invoice, proposal, service agreement, or written agreement between the parties.
